1. Acceptance of Orders

All orders are subject to acceptance by Radar Engineers Inc. (“Radar Engineers”) through a written order acknowledgment issued from Portland, Oregon. These Terms & Conditions exclusively govern all sales unless otherwise agreed in writing by an authorized representative of Radar Engineers. Any additional or conflicting terms proposed by Purchaser are rejected unless expressly accepted in writing.

2. Pricing, Quotations & Lead Times

All quoted prices are valid for the period stated on the quotation. Lead times provided by Radar Engineers are estimates only. While Radar Engineers makes every reasonable effort to meet quoted schedules, it shall not be liable for delays caused by supply shortages, transportation disruptions, labor issues, or other causes beyond its control.

3. Shipping & Risk of Loss

Unless otherwise agreed, all shipments are made EXW – Portland, Oregon (Incoterms® 2020). Risk of loss transfers to Purchaser when products are made available for pickup at Radar Engineers’ facility. Packaging and shipping methods are determined by Radar Engineers unless Purchaser requests special arrangements, in which case additional costs may apply.

4. Taxes

Purchaser is responsible for all applicable sales, use, excise, import duties, and other taxes unless a valid exemption certificate is provided prior to shipment.

5. Payment Terms

Payment terms are net 30 days from date of invoice unless otherwise stated in the order acknowledgment. Past-due balances may accrue late charges at the maximum rate permitted under Oregon law. Radar Engineers reserves the right to require advance payment if Purchaser’s credit standing becomes unsatisfactory.

6. Intellectual Property

All product designs, specifications, drawings, manuals, photographs, and related materials remain the exclusive property of Radar Engineers. Purchaser may not reproduce or distribute such materials without prior written consent.

7. One-Year Limited Warranty

Radar Engineers warrants to the original Purchaser that its instruments are free from defects in materials and workmanship under normal use for one (1) year from the date of shipment. Radar Engineers’ obligation is limited, at its sole option, to:

  • Repair of the product
  • Replacement with a new or refurbished product or component
  • Issuance of credit not exceeding the original purchase price

This warranty does not cover:

  • Damage caused by misuse, abuse, negligence, or improper operation
  • Unauthorized repair, modification, or disassembly
  • Normal wear, environmental exposure, or improper storage
  • Third-party components or accessories not manufactured by Radar Engineers
  • Damage occurring during freight or handling by carriers

No other warranties, express or implied, including merchantability or fitness for a particular purpose, apply.

8. Warranty Claims & Returns

Purchaser must notify Radar Engineers in writing of any potential warranty claim within the warranty period. A Return Authorization (RMA) is required before any product is returned. Products returned without an RMA may be refused. For non-warranty returns approved at Radar Engineers’ discretion, restocking or handling fees may apply. Purchaser is responsible for inbound freight charges unless otherwise agreed.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Radar Engineers’ liability shall not exceed the purchase price of the product giving rise to the claim.
  • Radar Engineers shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption.

These limitations apply regardless of the theory of liability.

10. Governing Law

These Terms & Conditions shall be governed by the laws of the State of Oregon, without regard to conflict-of-laws provisions.

11. Entire Agreement

These Terms & Conditions constitute the complete agreement between Radar Engineers and Purchaser and supersede all prior communications regarding the subject matter. Any modification must be in writing and signed by an authorized representative of Radar Engineers.
